Yanina Weerasinghe, Head of Group Legal and Company Secretary (General Manager) of the Brandix Group, shares insights into her role in one of Sri Lanka’s biggest multinationals. Yanina sheds light on Brandix’s significant contributions to Sri Lanka’s economy, navigating legal complexities across global jurisdictions and balancing innovation with regulatory compliance. She also discusses governance, sustainability and legal frameworks alongside efforts to foster inclusivity and ensure long-term growth amidst evolving challenges.
What excites you most about your job?
I recently came across a quote that resonated with me: “Your company culture is not words on your website. It’s how your people feel on a Sunday night.” How I feel on a Sunday night reflects my excitement and inspiration about my work and its impact.
Brandix significantly contributes to Sri Lanka’s economy by generating revenue and foreign exchange. As one of the country’s largest employers, we work with some of the best global customers. Simply being part of such an esteemed organization is a strong motivator.
However, the context of Sri Lanka’s recent economic crisis makes this even more meaningful. Brandix’s ability to navigate these challenges has become a matter of national importance. Our success or failure directly affects the country, as our operations align with the nation’s strategic goals. It’s humbling to know that our work here impacts not just the company but the country as a whole. On a separate note, I also draw my inspiration from the talented young team of Lawyers who form my team and my reporting Director, who gives me the leverage to bring my legal expertise to the table independently.
Are there significant challenges in managing compliance and corporate governance, and how do you navigate through them?
Brandix operates in over nine global jurisdictions, which brings a wide range of governance and regulatory compliance challenges. Based on my experience with other corporate giants, managing compliance largely depends on the decision-makers’ knowledge. If there is a knowledge gap or reluctance to heed legal guidance, it can escalate from a challenge to a significant issue. Brandix’s leadership team is well-versed in legal and regulatory compliance, making my role easier.
A more considerable challenge arises in developing countries, where regulations frequently change due to administrative shifts. These changes can introduce complexities and risks if we are not consistently aligned with evolving regulations. I address these gaps by providing proactive legal guidance to navigate these changes, ensuring we remain compliant.
In terms of sustainability, Brandix is deeply committed to environmental, social, and governance goals. The success of these efforts depends on the Board’s understanding of the company’s climate profile and the dedication of our employees. Our ESG team works diligently towards these objectives, and as Head of Legal, I offer legal guidance to ensure we meet regulatory requirements.
As we work with international brands, our customers assess how we meet sustainability goals. All in all, we must align with global sustainability standards. Our ESG team works towards this goal, and I strive to eliminate any ambiguities and provide the legal support needed to ensure we stay compliant and focused on long-term impact. Sustainability perceptions may also vary in developing countries like Sri Lanka, creating challenges, and this is yet another instance where necessary legal guidance is imparted so that Brandix remains committed to its sustainability goals and overcomes any limitations.
The apparel industry is rapidly evolving due to shifting consumer demands, digital transformation and automation. How do you balance innovation with regulatory compliance while fostering a competitive edge for Brandix?
Brandix is swiftly moving ahead with meaningful digital transformation and automation, and we intend to continue on this positive trajectory. However, the rapid pace of technological advancements, including digital transformation and automation, introduces complexities that must be managed within strict legal and regulatory frameworks.
Despite these challenges, we must continue to innovate. Technological progress often reduces reliance on manual labour, but we must ensure compliance with labour laws, regulations, and other legal obligations. This could involve doubling the business with the existing labour force or considering other viable options. Striking the right mix without compromising either is essential, and these are challenges we navigate.
What are your key priorities in strengthening Brandix’s governance, sustainability, and legal frameworks to support the company’s long-term growth and global expansion?
I work with a talented team of young lawyers, and together, we focus on forward-thinking work. We ensure that our internal policies, external vendor codes of ethics, and supply chain procedures are well-designed. A key priority is making the necessary filings under applicable laws, including the Companies Act. While we manage multiple responsibilities, my primary focus is on drafting and executing contracts and legal instruments.
This is critical because every contract must align with our long-term growth and global expansion strategies within the legal framework. Drafting contracts presents challenges, notably eliminating ambiguity—grey areas. A poorly drafted clause can expose the company to risks, from disputes to indemnification claims and liquidated damages.
While business disputes can often be negotiated, errors in significant contracts can have serious legal, business, and operational consequences, potentially impacting the company’s growth and sustainability. For this reason, my team prioritizes contract drafting, ensuring it doesn’t overshadow other priorities.
What legal and policy frameworks have you helped shape to drive inclusivity and equitable opportunities?
Brandix is committed to inclusivity and equal opportunity, with our HR team implementing key programmes and policies to support this. The framework is called IDEA at Brandix, which stands for Inclusion, Diversity, and Equity to Accelerate. Where required, I provide legal guidance in this area, including supporting the Ombuds office and collaborating on policies like “Safe to Speak Up” and “Abuse and Harassment-Free Workplace.” I also serve on the Internal Committee, addressing related complaints. Additionally, I mentor in the “Rise for Her” Mentorship Programme, which has been a valuable tool for employee growth and success.
